Can my business begin an IPO journey before it is fully ready?

Some gaps are a reason to begin planning. Find out which can be fixed and which need early specialist review.

“We are not ready yet” is a common first answer. The owner may be thinking about a missing CFO, late accounts, or a complicated group structure. These gaps deserve attention, but they can also mark the beginning of a concrete plan.

A company does not need every process to be perfect before it starts exploring an IPO. Revenue and profit of a meaningful size or trajectory may justify a bigger conversation. They cannot, by themselves, establish eligibility for SET or mai. The exchange considers company and share qualifications, financial position, operating record, and other applicable conditions.

Begin with honest questions. Why does the owner need capital? Do financial statements explain the business? Are group structures and related-party dealings clear? Can controls work without one person making every decision? Can the leadership team change how it operates? “We do not know yet” is a useful answer when it identifies the evidence to find next.

Separate the gaps that can be planned and improved, such as finance staffing and reporting, from issues that may affect ownership, transparency, or eligibility and need prompt specialist review. Self-assessment produces an initial map. A conclusion about eligibility or filing timing requires actual evidence and the rules in force at the relevant date.

The company can start with a more honest statement than “we are IPO ready”: we see an opportunity, we understand what remains unresolved, and we will work through it in a deliberate order.

Questions to ask yourself

  1. What new revenue, profit, or capability would the capital help build?
  2. Which financial, ownership, or related-party issues are still difficult to explain?
  3. Who would own the changes required for more disciplined reporting and decisions?
